Decisions taken by the General Meetings of Shareholders of Fortis

The Annual General Meetings of Shareholders of Fortis SA/N.V. and Fortis N.V.
have approved all proposals put forward by the Board of Directors.
Dividend
Fortis paid an interim dividend of EUR 0.70 per share in September for the first half of
2007, in line with the dividend policy of paying 50% of the full-year dividend for the
previous financial year. The 2007 interim dividend adjusted for the rights issue amounts
to EUR 0.586 per share.
Given the adjusted 2007 interim dividend of EUR 0.586 and a proposed final dividend of
EUR 0.59, the total proposed dividend for 2007 comes to EUR 1.176 per share in cash.
The final dividend will be payable from 27 May 2008.
Each Fortis share represents one share in each of the two Fortis parent companies, Fortis
SA/NV and Fortis N.V. Shareholders can opt to receive the dividend from Fortis SA/NV,
the Belgian source, or from Fortis N.V., the Dutch source. They need to make their
preference known during the dividend election period.
The timetable is as follows:
2 May 2008 Ex-dividend quotation
2 May 2008 Start of dividend election period
20 May 2008 End of dividend election period
27 May 2008 Payment of final dividend for 2007 (coupon no. 41)
Final gross dividend paid out by Fortis SA/NV in Belgium will amount to EUR 0.59 per
Fortis share. Final net dividend will amount to EUR 0.44, being gross dividend less
Belgian dividend withholding tax of 25% in principle. Any shares accompanied by
coupon no. 41 from the VVPR strip will be subject to Belgian withholding tax of only
15%, so net dividend of EUR 0.50 per share will be paid on those shares.
Final gross dividend paid out by Fortis N.V. in the Netherlands will amount to
EUR 0.59 per Fortis share. Final net dividend will amount to EUR 0.50, being
gross dividend less Dutch withholding tax of 15% in principle.
Dutch residents who have received VVPR strips under the rights issue are reminded that:
o these instruments are intended to entitle Belgian residents to a reduced rate of
Belgian withholding tax on dividends (15% instead of 25%) and do not entitle
non-Belgian residents to any tax benefits
o the VVPR strips are listed exclusively on Euronext Brussels, where they are
traded at extremely low prices due to the low volumes of trade in these strips
o financial institutions sometimes charge a fee for holding these strips in custody
on a securities account
Due to the above reasons, holders of VVPR strips in the Netherlands may request
their bank to have Fortis cancel their strips at no charge before 30 June 2008.
Board of Directors
Count Maurice Lippens has been re-elected non-executive director for a period of four
years, namely until the end of the Annual General Meetings of Shareholders of 2012.
Jacques Manardo has been re-elected non-executive director for a period of three years,
namely until the end of the Annual General Meetings of Shareholders of 2011.
Rana Talwar has been re-elected non-executive director for a period of three years,
namely until the end of the Annual General Meetings of Shareholders of 2011.
Jean-Paul Votron has been re-elected executive director for a period of three years,
namely until the end of the Annual General Meetings of Shareholders of 2011.
Louis Cheung Chi Yan has been elected non-executive director for a period of three years,
namely until the end of the Annual General Meetings of Shareholders of 2011.
Auditor
KPMG has been appointed sole auditor of the company for the financial years 2009, 2010
and 2011. Pursuant to their existing mandates, the current auditors PwC and KPMG will
jointly perform the external audit of the 2008 annual consolidated accounts.
Amendments to the Articles of Association
The proposed amendments to the Articles of Association were also approved. The
main amendments are:
- for Fortis SA/NV: the proposal to cancel the unappropriated balance of the
authorised capital and the issue of new authorised capital for a period of three
years. The new authorised capital was fixed at EUR 2,022,048,000
- for Fortis N.V.: the proposal to raise the authorised share capital from EUR
1,948,800,000 to EUR 2,007,600,000 and the proposal to move the registered
office of the company to Amsterdam
