Placing Traders ("the Website") is owned and operated by Placing Traders Ltd (Registered in England and Wales No. 04248585. Registered office: Old Chambers, 93-94 West Street, Farnham, Surrey. GU9 7EB
For the purposes of the Terms, "we", "our" and "us" refers to Placing Traders Ltd.
Upon approved registration, a Placing Traders Member's use of the Placing Traders Website is deemed to bind such a Member to these Terms (Terms and Conditions) (or if subsequently revised or amended to the latest version of these Terms) and to the use of the Website only for lawful purposes.
You should review these Terms (Terms and Conditions) carefully before submitting a registration request to Placing Traders and before using the Website.
1 General Information
The Terms: These Terms (Terms and Conditions) may be changed by us at any time. You will be deemed to accept the Terms (or Terms as amended) when you next use the Website.
Headings: Headings are inserted in this Agreement for ease of reference only and do not form part of it for the purposes of interpretation.
Waiver: Failure by us to exercise or enforce any rights conferred by the Terms or at law shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time or times thereafter.
Notifications: Any notice to be given by either party shall be in writing and delivered personally or sent by pre-paid recorded delivery or registered post or by fax to our registered address or where applicable to you at the address in your information.
Severance: If any provision of this Agreement is determined to be illegal or unenforceable by any court of competent jurisdiction it shall be deemed to have been deleted without affecting the remaining provisions. The Terms supersede all prior agreements and arrangements of whatever nature and set out the entire agreement and understanding between you and us relating to its subject matter.
Conflict of Terms: In the event of any conflict between the interpretation of the Terms and the interpretation of any subsequent and additionally specified terms, these Terms shall prevail.
Denial of Service: Placing Traders Ltd. reserves the absolute right, without giving any reasons, to decline, cancel or remove any posted advertisement/copy/memorandum/data or remove the provision of some or all of the Website Services or to deny access to the Website to any user at any time without prior notice and at its sole discretion.
2 General Conduct when using the Website
A Member agrees :
2.1 Not to upload, transmit or otherwise disseminate through the Website:
(a) Any computer viruses, macro viruses, or any vexatious program designed to interfere with, interrupt or disrupt the normal operating procedures of a computer;
(b) any material which is defamatory, offensive, or of an obscene, vulgar, indecent or menacing character, or that may cause annoyance, inconvenience or needless anxiety, or have the effect of being harassing, threatening, abusive or hateful or that may otherwise denigrate or intimidate an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability; or
(c) any material which is copyrighted (unless you are the copyright owner or have the permission of the copyright owner to post the same), or reveals trade secrets (unless you own them or have the permission of the owner) or infringes any other intellectual property right(s) of others or the privacy or publicity right(s) of others;
2.2 Not to use the Website in a way that may cause it to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Website is in any way impaired, including but without limitation, “overloading”, “flooding”, “spamming”, “mail-bombing” or “crashing”;
2.3 Not to send unsolicited e-mail(s), including promotions or advertising of products or services;
2.4 Not to access or attempt to access any part of the Website to which the user is not authorised to access and that the user will not penetrate or seek to penetrate the Website’s security measures.
2.5 Not to deface, alter or interfere with the "look and feel" of the Website or the underlying software code, or (except as is expressly required by applicable law) decipher, disassemble, compile or modify any of the software, coding or information comprised within this Website.
2.6 That in the event of any right, claim or action against any user of the Website arising out of the Member's use of the Website, that Member will seek to pursue/repudiate such right, claim or action independently of, and without recourse to us.
2.7 Not to aggregate, copy or duplicate in any manner whatsoever any of the Content of the Website without the prior permission of Placing Traders.
2.8 Not to plagiarise or otherwise seek to pass-off others words and ideas as its own in any content uploaded to the Placing Traders Website.
2.9 That it takes full responsibility for any or all of its own comments uploaded to the Website and for any action arising therefrom.
2.10 That when using the Website in any or all capacity(ies) it will at all times conduct its activities with dignity and decorum.
2.11 That Placing Traders has full editorial powers to amend, alter or otherwise change any data entry or set of entries in whatever way it deems appropriate to maintain content in line with the ethos of the Placing Traders Website.
2.12 That Placing Traders has full power to suspend or cancel a user's access to the Website entirely at its discretion.
3 Website Services, Information, Access and Third-Party Access
3.1 We are continually seeking to improve the Services. We reserve the right, in our sole discretion, to make changes to any part of the Services. We make no guarantee of availability of the Website.
3.2 While we use reasonable efforts to ensure that the content is accurate and complete, some information making up the content may be supplied to us by third parties and we are not able to check the timeliness, accuracy or completeness of that information. Accordingly, we do not accept any liability arising from any inaccuracy or omission in any of the Content or any liability in respect of your information, or that of any other Website user or any other person.

You acknowledge and agree that we are not responsible for the availability of such external Websites or resources, and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content of such Websites, including without limitation any advertising, products or other materials or services on or available from such Websites or resources, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance upon any such content, goods or services available on such external Websites or resources.

Our Privacy policy has been developed to underpin our commitment to the highest-quality products and services combined with the highest level of integrity in dealing with our Members. The policy is designed to show how we collect, use and safeguard any information you provide to us and to assist you in making informed decisions when using our site(s). This statement will be continuously assessed against new technologies, business practices and registered Members needs. It is fully explained in our separate Privacy Policy.
6 Warranties
6.1 We do not accept any liability for damage to your computer system or loss of data that results from your use of the website and we cannot guarantee that any files that you download are free from viruses, contamination or destructive features.
6.2 The Website is provided on an “as is” and “as available” basis without any representation or endorsement and we make no warranties of any kind, whether express or implied, in relation to the Website, including but not limited to, implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, accuracy, conditions of completeness, or any implied warranty arising from course of dealing or usage or trade.
6.3 We will co-operate with any statutory law enforcement authorities or court order(s) requesting or directing us to disclose information about you or your use of the Website. There may be other circumstances in which we may in our reasonable discretion disclose information about you or your use of the Website following a request to do so by legal counsel in good faith in relation to a dispute with you or a third party.
7 Intellectual Property Rights
7.1 You acknowledge and agree that all title, right and interest (including but without limitation all copyright, trademarks and all other intellectual property rights) in all material or content supplied as part of the Website shall remain at all times vested in us or our licensors. 8 Third Party Rights
Except insofar as the Terms expressly provide that a third party may in his own right enforce a provision of the Terms, a person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any provision of the Terms but this does not affect any right or remedy of a third party which exists or is available apart from under that Act.
9 Indemnity
You agree to be fully responsible for (and fully indemnify us against) all claims, liability, damages, losses, costs and expenses, including legal fees, suffered by us and arising out of any breach of the Terms by you or any other liabilities arising out of your use of the Website, or the use by any other person accessing the Website using your internet account.
10 Jurisdiction
Any interpretation, adjudication or judgement as to this Website's content or actions or the actions, claims or disputes made by any of its users shall be subject to the jurisdiction and determination of the English Courts under English Law.
11 User Category - Use of Website by a Job Seeking Member (Job Seeker)
The following Terms and Conditions apply to Members accessing and using the Website as Job Seekers.
11.1 Our use of your information: You agree we may, subject to the Terms and the provisions of the Data Protection Act 1998, use your information to provide the Services. Please read our Privacy Policy for full details of how we will protect your privacy and use your information.
11.2 Our information: While we use reasonable efforts to ensure that the Content is accurate and complete, some information making up the Content may be supplied to us by third parties and we are not able to check the timeliness, accuracy or completeness of that information. Accordingly, we do not accept any liability arising from any inaccuracy or omission in any of the Content or any liability in respect of your information, that of any other Website user or any other person
11.3 Membership Authorisation: process and security
For Job Seeker Members, Registration will comprise the input of a live e-mail address and the selection and re-confirmation of a unique password. Such information shall constitute the Member ID. Such information may not be transferred or misused in any way or under any circumstances. As a Member, you are responsible for any and all use of the Services using your ID and for preventing unauthorised use of that ID.
If you believe there has been any breach of security such as the disclosure, theft or unauthorised use of your ID, you must notify us immediately by email or telephone. If we reasonably believe that your ID is being used in any way other than that permitted by these Terms, we reserve the right to suspend access rights immediately upon giving notice to you and to disable access to your ID until the issue has been resolved.
By Registering, you understand and acknowledge that we provide the Website only as a gateway for users to review opportunities in and information about the commodity industry (and associated disciplines) and that we do not seek nor have any control (beyond the limited editorial rights pursuant to the Terms) over submissions or their accuracy, quality or truthfulness, nor do we have any involvement in the negotiation or conclusion of any contract of employment arising from any information submitted to or accessed via the Website.
You acknowledge and affirm that you have provided us with accurate and complete registration information and that it is your responsibility to update such information by logging into the system and making the necessary amendments.
11.4 Fees: For individuals seeking work (“Job Seekers”), use of the Website is free of any charge. At no point will we ask for payment from you, or seek any credit card or other payment-related details. If such a request is made of you, please decline it and let us know immediately via e-mail or telephone.
12 User Category – Use of Website by Contributing Member (Business Contributor/Recruiter)
The following Terms and Conditions apply to Members accessing and using the Website as Contributors.
12.1 The Business Listing and Directory Service:
This service for Contributing Members (Business) shall comprise interactive access to the business information areas within the Placing Traders website.
Contributing Members (Business) can add copy to their business and Directory entry(ies); such activity is currently free-of-charge but Placing Traders reserves the right to develop further, associated activities which may be chargeable at a future date. Placing Traders will give at least 28 days notice of such a change and for existing Contributing Members (Business) will suspend charging for a period of 90 days for any up-dating activities that would otherwise attract a fee under such revised or new arrangements.
12.2 Contributing Membership Authorisation: process and security:
To become a Contributing Member of Placing Traders, an individual must first register as a Member of the Placing Traders website. Registration comprises the input of a live e-mail address and the selection and re-confirmation of a unique password. Such information shall constitute the Member ID. Such information may not be transferred or misused in any way or under any circumstances. As a Member, you are responsible for any and all use of the Services using your ID and for preventing unauthorised use of that ID.
To upgrade membership to that of Contributor, a Member must affirm the following:-
1. That they are employed by the organisation in the name of which prospective contributions will be made and authorised to make such contributions.
2. That they have read and accept Placing Traders Terms and with specific reference to Section 2 relating to a user's general conduct when using the Placing Traders website.
3. That they understand and acknowledge that existing contributors for the Member's organisation will be notified that this Member has also become a contributor for that organisation.
4. That they understand that once they have become a Contributing Member for their organisation, they will be notified of any further authorisations for Contributing Members for that organisation.
Placing Traders internal verification will underpin this process.
If you believe there has been any breach of security such as the disclosure, theft or unauthorised use of your ID, you must notify us immediately by email or telephone. If we reasonably believe that your ID is being used in any way other than that permitted by these Terms, we reserve the right to suspend access rights immediately upon giving notice to you and to disable access to your ID until the issue has been resolved.

12.3 The Recruiting Service:
The Service for Contributing Members (Recruiters), shall comprise interactive access to the PlacingTraders.com Website for the purpose of placing thereon job advertisements. Should the Recruiter require Placing Traders Ltd. to input any/all data to be placed on the Website, it shall provide such information promptly and in a form specified by Placing Traders. The Recruiter shall use all reasonable endeavours to ensure the truth and accuracy of any information supplied for input on its behalf. The Recruiter acknowledges and understands that to the extent its demands are over and above those previously agreed and thereby are required additional services, Placing Traders Ltd is entitled to charge additionally for the same at its sole discretion.
Job Slots are purchased on-line; such purchases are subject to these Terms which govern the entire contract (other than in the case of fraud) between the Contributing Member (Recruiter) and Placing Traders and exclude all pre-contractual representations (including any implied at law so far as is legally permissible). The details of any Job Slots purchased shall remain confidential.
12.4 Vacancies
posted on Placing Traders may also appear on third party recruitment Websites pursuant to agreements from time to time between Placing Traders and the proprietors of such web sites.
12.5 Dealings with job-seekers
You agree to deal fairly and professionally with individuals passed to you by Placing Traders and not do anything which may bring Placing Traders Ltd into disrepute.
Information arising from responding individual(s) or companies must be subject to appropriate privacy provisions which in their extent are no less onerous than those published by Placing Traders Ltd; you will not do anything to bring Placing Traders Ltd into disrepute.
You will indemnify Placing Traders against any claim brought by an individual against Placing Traders arising from your breach of this obligation or any other of these Terms.
12.6 Prices
Placing Traders will from time to time publish/revise a Pricing Schedule for Job Slots.
A Job Slot is defined as one (1) job advertisement live for 90 days from the date of publication.
Prices are guaranteed for the period stated on the Placing Traders website. Prices are confidential and may not be disclosed by the Recruiter. Job Slots purchased entitle the Recruiter to post jobs on the Placing Traders website to the extent of such job slots/periods purchased.
Placing Traders is entitled to charge for extensions or increases in the numbers of Job Slots or posting periods as a new posting at the prevailing rate although it reserves the right to moderate or modify such charges at its sole and absolute discretion to the benefit of the Recruiter.
For Recruiters each Job Slot subscription is for a single organisation as described and included in your registration information and is not transferable. Sums due to Placing Traders under the agreed contract(s) are payable upon presentation of a Placing Traders' invoice.
12.7 Confidentiality
Both parties shall keep confidential any information which has been or is disclosed to it by the other. Confidential information includes, without limitation, information as to business methods, dealings or plans not known to the other party prior to disclosure or in the public domain or required to be disclosed by any court or regulatory authority.
12.8 Termination
Credit for previously purchased Job Slots is not refundable.
We may terminate the provision of Services if:
- the Recruiter is in material breach of these terms and conditions and has not remedied such breach within ten days of notification specifying the breach and requiring that it be remedied, or:
- the Recruiter becomes insolvent, ceases to trade or goes into liquidation.
12.9 Limitation of liability
Placing Traders shall not be liable or accept liability for any of the following:-
(a) loss arising from information input, received, available at, linked to or removed from the Placing Traders Website howsoever caused but subject to reasonable endeavours by Placing Traders to correct the same within 7 days of it receiving notification of the same.
(b) special, indirect or consequential loss, including, without limitation, loss of information, profit, contract, anticipated savings or opportunity;
(c) interruption to the Service or access to the Placing Traders website as a result of events beyond its reasonable control or, where Placing Traders is at fault for any period not exceeding 7 consecutive days inclusive.
(d) Placing Traders total liability to the Recruiter in respect of any Service, except for death or personal injury caused by our negligence, is limited to the total credit outstanding or £3,000, whichever is the lesser.
Nothing in the sub-heading 12.09 shall serve to limit Placing Traders liability for fraud or personal injury or death arising from the negligence of its agents or servants.
12.10 Legal: Both parties shall observe their respective obligations under the Data Protection Acts 1984 and 1998 and any other privacy laws. Where a candidate sends information through to an Advertiser, such information shall only be used for the express purpose for which is was sent.
13 Definitions
13.1 Website: the Placing Traders Website.
13.2 Service :the service(s) offered and provided by the "Website" under the category(ies) of use chosen by the user and advised to and authorised by Placing Traders
13.3 Terms: The Terms and Conditions for use of the Website
13.4 Content: All data to on the Website regardless of its origin.
13.5 Contract Month: The minimum period for which a service(s) may be contracted.
13.6 Purchase Order: Placing Traders official record of an agreement to the use its service(s).
13.7 Member: Individual who has registered as a Placing Traders website user and satisfied the Membership authorisation criteria.
13.8 Contributing Member: An individual Member who has affirmed entitlement to act as a Contributor in the name of his/her organisation.
13.9 User Category: Categories of user allowed to register and utilise the Service - currently comprising Member, Contributing Member.
13.10 ID: Placing Traders descriptor for the combined email/password identifier for individual Members,
13.11 Pricing Schedule: A schedule of charges published from time to time by Placing Traders Ltd. indicating charges for pre-described services for which users may contract with Placing Traders.
13.12 Job Slot: A generic descriptor for standard unit of job advertising viz. One job advertised for one 90 day period.
13.13 Placing Traders: The owner and operator of the Placing Traders website: May be referred to as Placing Traders Ltd, Placing Traders.com and Placing Traders.
